The code of third-party solutions certified by Microsoft are held in escrow should the developer ever go out of business. Clients purchasing custom solutions should insure their written agreement with the developer stipulates who owns the code. It can only be truly protected by filing a copyright. Many clients assume they own the code, but that's not necessarily true. Custom code owned by a developer should also be held in escrow for the longterm protection of the client.
